Siemens’s loss is 888 million Euros

The long line of failed projects has again denied Siemens a double digit operating profit percentage. The quarters when CEO Joe Kaeser is not locked in to announcing losses, often amounting to hundreds of millions, are few and far between stemming from projects like, for example, electric transmission, or linking up with maritime wind farms. The problem with wind farms is that they cost the group 223 million Euros in the fourth quarter alone. Referring to last financial year, CFO Ralf Thomas was talking in terms of 888 million Euros of expenditure and the year before that, the figure was 900 million Euros. In the field of energy, turnover and profit margin both dipped between April and June. The energy countermovement in the generating business above all in Germany is expected to sharpen its claws in future because of the closure of atomic power stations which makes conventional generating plants no longer feasible. The forecast has led Kaeser to start preparing his people for cut-backs. The recent reconstruction initiative embarked upon by the group will also make jobs obsolete.

 

Indus: new acquisitions sweep clean

Indus AG, the technology sector holding company has increased its first three quarterly turnover and Ebit for 2014 over 2013, year on year. Today’s quarterly results point to an increase in sales from 881 million to approximately 927 million Euros with Ebit up 4% to some 92 million Euros. The SDax-listed company’s biggest increase is in medical technology and health-care, up by 17%, followed by a 9% increase in metalworking technology. Management is expecting a turnover in 2014 of some 1.2 million Euros with an Ebit of 118 million Euros. This year, the company has continued its policy of acquisitions, taking over five companies with an overall turnover potential of more than 80 million Euros.

 

Curasan: Increased turnover

Curasan AG, the General Standard-listed medical technology specialist, has posted a 13 percent increase in its first three-quarterly turnover to 4.6 million Euros. According to the company’s quarterly report, the turnover is the result of expansion in the area of synthetic materials for bone reconstruction, and the growth in turnover of the dental and clinical orthopaedic divisions. Curasan is forecasting a turnover this year of between 6.5 and 7.5 million Euros, and a loss of between 1 and 1.5 million Euros. As a means of raising capital to power its strategic projects, the company has issued approximately 1.4 million new shares generating some 1.5 million Euros gross.

 

Borussia Dortmund: Roubles keep the ball rolling

The Borussia Dortmund GmbH & Co. football club has announced a growth in turnover for the first quarter of financial year 2014/15 (30 June) of almost 18 percent to 70 million Euros. Group quarter profit has risen to 2.5 million Euros from 1.4 million for the corresponding period of the previous year. Ebit is up 65% on last year and now stands at 3.8 million Euros. The increase in revenue has been generated above all by marketing on TV, advertising and the business of player transfers.

More optimism through sustainability

It is becoming increasingly worthwhile for listed companies to convert to a company culture oriented towards greater sustainability. This is especially true for SMEs. Why? Because institutional investors are shifting towards deciding where to invest on the basis of factors of sustainability. This emerges from a survey on sustainability published by Union Investments – a company in the field of capital investments according to which 56% of investors interviewed stated that they take sustainability into account when selecting where to invest. The satisfaction rating calculated by Union Investment for sustainable investments has risen sharply and stands at 13.4 points. In 2013 the barometer read 5.4 points, and in 2012, a mere 4.2 points. The survey was conducted over 215 major investors with a total asset worth of some 1.5 billion Euros.

Today, issues of sustainability, as in how they affect investment decisions, are mostly judged along the guidelines laid down by the major investment companies concerning the environment, social responsibility and corporate governance. These highlight the sustainability requirements of the investment company involved regarding the object being considered for investment. Some experts deem that the issue of sustainability be part of the classic capital investment triangle composed of security, revenue and liquidity, because companies who give their support to sustainable management instead of chasing the quick profit can offer investment companies a much higher degree of security as protection of their investment.

In other words, companies who spurn criteria of sustainability run the risk of sustaining substantial losses. During the conference on sustainability organized this year also by Union Investment, Dr. Solveig Pape-Hamich, Head of Investment Strategies and Sustainability in KfW talked about two very high-profile examples. In 2012 the bloody suppression of a miners’ strike called to obtain more humanly acceptable working conditions brought long-term damage and great financial instability to the Lonmin mining company in South Africa. In 2010, the event that took place on the Deepwater Horizon drilling rig brought serious consequences on the collective heads of the BP oil group.

Stock market-listed companies that can be convincing with a credible and traceable strategy of sustainability regarding the environment, social responsibility and the way they themselves are managed are at an advantage in the quest for an investor. Developing in an increasing awareness of sustainability criteria in matters of investment is of particularly strategic importance for second-rank-listed SMEs. 

 

 


 

Buhlmann's Corner

 

Politics set such a fine example it’s hard not to follow. Should I be beholden to what I said yesterday to make people vote for me? Short answer: no.

The latest illustrious example comes from the chairman of the Supervisory Board of Siemens 2012-3. He ran for re-­election promising that his top priority would be to prepare (at last) a road map for his succession and that of other members of the board. So there he sits, waiting for things to happen on their own, and we likewise, hoping that the world changes as little as possible. Them up there and us down here. Let’s hope in the weightiness of the family, now beginning to echo with youthful vigour.

I see the dawn of a new culture in which investors are viewed with respect and attention, a culture that Deutsche Bank has espoused judging by the changes already introduced; bonuses fall not as the gentle rain from heaven but are decided on by the shareholders’ representatives. Positions on the management board are no longer co-opted but decided on by discussion, both internal and external. Only the Supervisory Board is the same - more time and effort will be needed for it to undergo complete change and meet the challenge of the times.

The Karstadt / Arcando dispute has ended in a ruling as infantile as it is tinged with envy (former CEO Middelhoff was sentenced to three years imprisonment for embezzling half a million Euros). If these same standards were applied to tax felony, quite a number of German football club chairmen would be serving life sentences. I can’t help but wonder ­who was performing the tasks that were supposed to be the Supervisory Boards’, making decisions on credit and a whole series of other issues. Appraisals are back in fashion, so (presumably) Siemens is paying for one on how well its Supervisory Board performs, and how diligent its members are. A word of caution, though. In the eyes of the Essen magistrate, this hoary old tactic of Thyssen’s raises more intriguing questions: does a company have the right to pay an adjustor for these surveys ? even when the shareholders never get to see a copy of what they’ve paid for? To what extent can the adjustor be pardoned for not knowing enough about what he’s supposed to be examining and writing about.

The same applies to IPO interpreted as Interesting Personal Outlook, and I’m thinking above all about the vaudeville act staged recently by Rocket Internet. Someone turns up and I sell hope by the hundredweight – even after listing on the Stock Exchange, the quarterly reports were awash with glamour. You get to page 10 and read that the EBIT margins are exclusively positive (up to 129 %) but then you’ve got to wait till the end to read that there is not one (not even one?) holding with something resembling an EBITDA or even something more. Of course, the technical picture can always be touched up, like the vote in Infineon in 2010 when the majority of the meeting was turned around, or the appraisal of the Siemens Supervisory Board, etcetera.

Times will get better when youth takes the stage and puts its own ideas into practice as we hoped for in the “Corner” of November 2013: “all we can do is hope that, as happened in 2013, the family frees access to younger blood and also more ladies for the Supervisory Board”. BASF is being brought to court in the United States on charges of price fixing in metal trading. The charge sheet, deposited in the court of New York, alleges that the metal trading department of the biggest chemical company in the world conspired with Goldman Sachs, HSBC and South Africa’s Standard Bank over eight years to manipulate the prices of platinum and palladium. Florida-based Modern Settings complains that priced fixing cost buyers millions of dollars. The manufacturer of jewellery and police badges was one of the purchasers involved.

 

Seven years down the line, SAP has finally concluded its litigation with Oracle on illicit uploading of Oracle software. The tribunal ruling, published on November 13, states that the German software group pay approximately 359 million dollars (some 287 million Euros). The complaint involved Tomorrow Now, a former SAP subsidiary company that had procured the software from its American competitor by illegal means. The two companies have declared their satisfaction on the agreement reached.

The Federal Cabinet launches the law protecting small shareholders

Investors in the gray capital market have another link in their protective suit of armour. The Federal Cabinet approved a draft law on November 12 protecting the rights of small shareholders, and aiming to restore investor trust in the financial service market. The Federal Minister of Justice announced that the new rules will offer greater consumer protection against high risk financial products with low transparency. Indeed, the Bill requires that investors be given more information and that that information be more recent. At the same time, the suppliers of investment products are bound within certain limits as regards advertising and selling technique. The gray market, notes the government, should then become a transparent capital market. The proposal, drafted jointly by the Finance Ministry and the Ministry of Justice, is the governing coalition’s answer to the bankruptcy of wind farm financier Prokon, who took a lot of people’s money with it when it went down. The German credit market is optimistic that in the wake of the government draft bill, obligations provided for by MiFID II on the installation of procedures for obtaining product approval are not anticipated as was previously but introduced at the same time as European law on January 3, 2017. Unfortunately, this draft is still insufficient to regulate the gray capital market.

For the third time, Aurubis has fired its management board’s chairperson, this time Peter Willbrandt. Bernd Drouven will take over the helm of the copper working company for a maximum of twelve months. The state of conflict that arose between Supervisory Board chairman Heinz Jörg Fuhrmann and the then chairman of the management board, later member of the Supervisory Board that led to the latter’s resignation in 2011, seems not to be an issue. Drouven’s responsibilities on the Supervisory Board will be shouldered by reserve board member Joachim Faubel. On September 19, Faubel’s predecessor announced that personal reasons prevented him from seeking renewal of his contract. Aurubis’s announcement that in agreement with the Supervisory Board, 52 year-old Willbrandt was no longer with the company as from October 31, was datelined 3 November.

 

After the resignation of former management board chairperson Roland Koch during the summer and now the announced resignation of CFO Joachim Müller as soon as a replacement can be found , the management board of Bilfinger, now reduced to five members, is on the point of losing Joachim Enenkel. The Supervisory Board is bracing itself against Enenkel’s days at the MDax-listed company being counted when the former Metro chief comes on board. Enenkel’s sole responsibility at present is the building sector, most of which is planned to be sold off.

 

On October 31, Deutsche Post Supervisory Board summoned Melanie Kreis to join its management board. The Bonn-born future head of Human Resources and Labour Director is not an outsider like her unfortunate predecessor Angela Titzrath but has risen through the ranks. The 43 year-old mother of two has been with Deutsche Post for ten years and in 2015 will be faced with the thorny issue of emoluments. Melanie Kreis has also a solid experience in mergers and acquisitions.

 

Now that Fortress, the financial investor, is finally no longer involved with GAGFAH, the residential real-estate group will begin the new year with three new management board members. The newcomers are Hendrik Jellema (formerly of the management board of Berlin real estate construction company, Gewobag), Daniel Just (hitherto chair of Bayerische Versorgungskammer board of management) and Wolfgang Ruttenstorfer (lately, up till 2011, CEO and chair of the board of management of Austrian real estate company OMV). The three will take the places left vacant by Wesley R. Edens and Randal A. Nardone, legacies of Fortress’s major incursion that seated them as its representatives of the former major shareholder, and by Jürgen Allerkamp who is resigning by year’s end to become chair of the board of management of Investitionsbank Berlin (IBB).

 

Olaf Berlien has been appointed to replace Wolfang Dehen in OSRAM Licht with effect from January 2015. During a meeting on November 5, the Supervisory Board of the lighting technology company, presently in the throes of reconstruction, summoned the present CEO of M + W, a semiconductor producing SME in Stuttgart, as new chair of the management board. Dehen will quit his post in OSRAM on January 1 2015 on the best of terms with the company.

 

On November 3, the Supervisory Board of Pfeiffer Vakuum relieved Nathalie Benedikt of her duties. On November 4, the TecDax listed company announced from its headquarters in Asslar, Hessen, that the dismissal of the former CFO had nothing to do with the current intermediate report. Her responsibilities will be shouldered by Managing Director Manfred Bender until a replacement can be appointed.

 

It would appear that the Siemen’s Supervisory Board is in the process of adding to its number in the person of BMW CEO Norbert Reithofer . He is expected to stand as candidate at the next general shareholders’ meeting on January 27, 2015. In that case, another shareholder delegate would have to stand down since the mandate of the board, presently chaired by Gerhard Cromme does not expire until 2018. In the meantime, the Siemens family is embarking on a generation renewal. The representative of the family, Gerd von Brandenstein (72) wishes to retire for reasons of age. Great-grandson of Werner von Siemens’s brother, Carl Heinrich, von Brandenstein is handing his seat over to Nathalie von Siemens.

 

Now that some 90 percent of SkyDeutschland belongs to Rupert Murdoch’s BSkyB, the composition of the Supervisory Board of the German pay-tv network also changes. A communiqué issued on November 19 announced that consequent to the unification of his European pay tv channels, the media mogul is replacing two Supervisory Board members. BSkyB CEO, Jeremy Darroch and his fellow management board member Andrew Griffith (CFO) will join the Supervisory Board. Darroch has been elected its chairman. SkyDeutschland had already been informed by Chase Carey and Jan Koeppen that they would no longer be running for election to the Supervisory Board and so their standing as Board members terminated on November 19, 2014.

 

As had been imagined, Jens Tischendorf is set to join the Thyssen Krupp Supervisory Board in representation of Cevian. The Swedish investor’s top man in Germany appears in a list published by the industrial group, indicating him as a candidate to represent the shareholders. Confirmation will emerge from the vote at the shareholders’ general meeting on January 30, 2015, but if Tischendorf is elected, Cevian, currently second largest shareholder in Thyssen Krupp with 15.08%, will further increase its weight in the Supervisory Board. Ingrid Hengster, presently on the management board of KfW is also expected to join the Supervisory Board. Board members Christian Streff of the French Safran group and JürgenThumann former president of BDI, the association of German industry, will step down.

 

Alno: perpetual readjusting

Alno AG has extended its contract with CEO Max Müller for a further two years. Müller, who joined the company in 2011, will continue to lead the kitchen manufacturer until December 2016, with an eye in particular on the new positioning of the company, now General Standard-listed. Müller is also in charge of restructuring and acquisitions. He also looks after auditing, legal affairs and company liaison as well as the group’s international business. In addition to his position on Alno’s board of management, Müller is chair of the Supervisory Boards of Comco Holding AG and Starlet Investment AG, both of which are Swiss investment companies.

 

Delticom: New CEO post

The board of management of Delticom is to be enlarged. As from January 2015, Thierry Delesalle will head consumer business in Western Europe for the SDax-listed company, in automobile tyres and complete wheels for automobiles, as well as company marketing. Delesalle joined Delticom in 2011 as Purchasing Manager and Head of Country Management for online automobile consumer business in East Europe.

 

Pfeiffer vacuum: Instant Separation

Pfeiffer Vacuum AG has split from CFO Nathalie Benedikt with immediate effect. The TecDax listed company cited internal disagreement. The disappointing quarterly results are not said to be the root of the problem. Finance, EDP and Human Resources will be attended to ad interim by Pfeiffer CEO Manfred Bender. Benedikt had been CFO of the vacuum pump producer since January 2013 and she had headed Controlling and Finance since 2004.

Transparency of management board emoluments leaves a lot to be desired

BVI (German association for investment and asset management) jointly with Ivox has looked into this year’s documentation of the shareholders’ meetings of 160 companies grouped within the DAX family (DAX, MDAX, SDAX and TecDAX) comparing them to the analytical guidelines for shareholders’ meetings published by BVO.

The guidelines are merely recommended courses of action for good company conduct that go in the direction required by the German Code of Corporate Governance without, however, slavishly copying them. Members of BVI fund-manage 90 thousand million Euros worth of shares on behalf of German companies. The funds are the trust they enjoy of their clients. What emerges is disappointing, the quality of corporate governance often falling short of the standards required. Above all, notes Thomas Richter, managing director of BVI, members of the management board ought to look at themselves in the mirror more often. The survey commissioned by BVI reveals an ever-increasing number of acts in open violation of the guidelines, above all at the point in the agenda when discharging the management board.

KUKA succeeded in collecting some 87.9 million Euros from institutional investors by issuing new shares to fund its takeover of Swisslog. In a press communiqué, the manufacturer of robots and plant announced the success of the capital-raising initiative first mentioned on November 5, fixing the number of shares at 1,702,884 units at 49 Euros each, corresponding to a loss of two percent. The cost of the entire transaction was some 280 million Euros.

Bearing in mind that the increase in capital was obtained as planned excluding rights of option, the company is not yet able to confirm whether the two major shareholders Grenzebach (19.8 percent) and Friedhelm Loh (10 percent) went with the flow so as not to dilute their holding.

 

Schaltbau: Moving forward by buying back

Traffic technology specialist Schaltbau AG, is moving to buy back 307,609 of its own shares – some 5 percent of its total share capital. Pursuant to a decision approved in the shareholders’ general meeting in 2010, company shares can be offered as payment for partial or outright company purchase. According to one specialist online journal, the SDax listed company is set to expand abroad with an eye on potential in China and certain Arab countries in particular.

It ought to be borne in mind, however, that the group was obliged to lower its profit target for 2014 from 31 to 26.8 million Euros as the result of negative spin in the allocation of the price of a purchase that took place this year. Management is steadfast in forecasting a turnover of 425 million Euros.

 

Hella: Unequivocally listed

Hella KG A. Hueck & Co, the supplier of material for the automobile industry gained Prime Standard listing on the Frankfurt Bourse in mid November. Ahead of the official announcement, the company had already placed some 11 million shares at 25 Euros each, deriving from an increase in capital. Another 5.75 million shares from the family partnership fund were issued in a second private placement at 26.5 Euros per share. Overall, Hella has issued 111 million shares. According to the Handelsblatt daily, the company revenue amounted to 278 million Euros of which 152 million went to the sixty or so family shareholders.

 

Mag Force: New horizons

In a recent capital increase, Mag Force AG, the medical technology specialist placed 1.7 million new shares at 6 Euros each, generating a revenue over 10 million Euros. Existing shareholders’ option rights were excluded. The new shares of the Entry Standard listed company amount to 7% of the share capital more or less; the revenue is earmarked for use in Mag Force’s own special area of oncology, Nanotherm Therapy, in markets including some outside the USA.

The therapy consists of introducing magnetized nanoparticles into a solid tumour and then heating them by rapidly alternating their polarity. According to the temperature reached they kill the tumour cells or render them vulnerable to further treatment. At present, Europe only allows the therapy to be used in the treatment of brain tumours. According to the Börse Online journal, the company is focusing its efforts to securing authorization to treat prostate cancer which has a fatality rate in the US higher than that of brain cancer.

Capital Stage: Capital for more solar energy

SDax-listed Capital Stage AG, has launched a strategic venture jointly with Gothaer Versicherungen in the field of renewable energy. The insurance company is offering the solar panel and wind farm company a jouissance right capital of 150 million Euro for a duration of 20 years. Capital Stage intends to use this revenue in the future to fund solar generating and the set-up of solar power-plants especially in Germany, France and Italy. The company hopes to have completed the investment stage before the end of 2015 and thus be able to count on doubling production capacity for an ascertainable period of time.

 

WMF: Financial investors Kohlber Kravis Roberts (KKR) and Fiba are expecting to conclude the purchase of kitchen equipment manufacturer WMF AG by year’s end 2015. The announcement appears in the Börse online journal. The two investors already hold 92% of WMF share capital in a holding company called Finedining Capital. The holdings of minority shareholders are expected to be acquired by a squeeze out cash payment of a fair price, presently deemed to be 5837 Euro per share. At the meeting in January, shareholders will be called upon to vote on transferring the remaining share capital to Finedining Capital. In the meantime General Standard listed WMF AG, has sold its US subsidiary Alfi, producer of insulated coffee pots, to the Thermos group considered by WMF a world leader in its market. No information has been forthcoming from either party as to the price of the transaction. For its part, WMF is moving towards progressively divesting itself of brand companies and concentrate more on kitchens and kitchen furniture, and professional coffee machines.

 

SKW: Adieu Sweden

The SKW Metallugie Holding AG group has sold a Swedish calcium carbide factory to the German chemical concern AlzChem. The details of the transaction have not been divulged. In divesting itself of 100 percent of its holding in SKW Metallurgy Sweden AB – now Nordic Carbide AB – SKW continues to pursue its new management strategy of increasingly concentrating on its core business and growing in key markets.

Siemens perde 888 milioni di Euro

La serie dei progetti falliti è costata alla Siemens ancora una volta una percentuale a due cifre del profitto d’esercizio. Sono pochi i trimestri in cui il CEO Joe Kaeser non è costretto ad annunciare delle perdite spesso di centinaia di milioni, ad esempio dal progetto per la trasmissione elettrica o il collegamento ai parchi eolici marittimi. I problemi con gli impianti eolici sono costati al gruppo solo nel quarto trimestre 223 milioni di Euro. Il CFO Ralf Thomas parla per l’esercizio passato di spese per 888 milioni di Euro, nell’anno precedente erano 900 milioni di Euro. Nel settore dell’energia si sono abbassati tra aprile e giugno sia il fatturato che i profitti. Specialmente in Germania il controvento nel business con la produzione di energia dovrebbe incattivirsi ancora. Il motivo sta nella Energiewende (chiusura impianti nucleari) che fa si che per i gruppi energetici gli impianti convenzionali non sono più redditizi. In vista delle previsioni Kaeser prepara la sua gente a dei tagli. Anche la recente ricostruzione del gruppo renderà obsoleti dei posti di lavoro.

Indus: acquisizioni portano vento nuovo

La società di partecipazione nel settore della tecnologia, Indus AG, ha aumentato nei primi nove mesi dell’anno rispetto allo stesso periodo dell’anno passato sia il fatturato che l’Ebit. Secondo i numeri trimestrali attuali il fatturato è passato da 881 milioni di Euro a circa 927 milioni di Euro, mentre l’Ebit sarebbe cresciuto del 4 % a circa 92 milioni di Euro. La società quotata nel SDax ha registrato nel settore della tecnologia medica e della salute un aumento di ben 17 per cento, seguito dal settore della tecnologia metallica con 9 per cento. Per l’anno prossimo il management si aspetta un fatturato di circa 1,2 miliardi di euro e un Ebit pari a 118 milioni di Euro. Durante l’esercizio corrente la società ha continuato a fare acquisti rilevando cinque aziende con un potenziale di fatturato di complessivamente oltre 80 milioni di Euro.

Curasan: aumento del fatturato

Quotata nel General Standard la Curasan AG è riuscita nei primi nove mesi dell’anno ad aumentare il suo fatturato del 13 per cento circa, a 4,6 milioni di Euro. Secondo il report trimestrale dell’azienda attiva nel settore della tecnologia medica il fatturato è principalmente dovuto all’ingrandimento del settore dei materiali sintetici per la ricostruzione ossea e alla crescita del fatturato del settore dentale e di quello clinico ortopedico. Per l’esercizio attuale la Curasan prevede un fatturato tra 6,5 e 7,5 milioni di Euro e un risultato negativo tra 1 e 1,5 milioni di Euro. Per poter spingere sui progetti strategici la società ha emesso nell’ambito di un aumento di capitale circa 1,4 milioni di azioni nuovo. Il ricavo lordo dall’emissione si aggira intorno ai 1,5 milioni di Euro.

Borussia Dortmund: Si muovono la palla e i rubli

Il club calcistico Borussia Dortmund GmbH & Co. comunica di aver realizzato nel primo trimestre dell’esercizio 2014/15 (30 giugno) un aumento di fatturato del quasi 18 percento, a 70 milioni di Euro. L’avanzo trimestrale del gruppo è salito a 2,5 milioni di - rispetto ai 1,4 milioni di Euro dello stesso periodo dell’anno precedente. Con 3,8 milioni di Euro l’Ebit è cresciuto del 65 % rispetto all’anno scorso. L’aumento dei ricavi è dovuto soprattutto al marketing in TV, alla pubblicità e al transfer business.

Più fiducia grazie alla sostenibilità

Promuovere una cultura di gestione aziendale sostenibile sembra essere sempre più interessante per le aziende quotate. Questo vale anche e soprattutto per le PMI. Perché? Gli investitori istituzionali decidono sempre di più in base a dei criteri di sostenibilità, come ci mostra la survey sulla sostenibilità pubblicata dalla società di investimento di capitale Union Investment. Ne risulta che ormai il 56 per cento degli investitori intervistati sostiene di scegliere gli investimenti anche in base al criterio della sostenibilità. L’indice di soddisfazione calcolato dalla Union Investment per gli investimenti sostenibili è notevolmente salito, ad un valore di 13,4 punti. Nel 2013 il barometro raggiungeva 5,4 punti, nel 2012 solo 4,2 punti. L’inchiesta è stata fatta tra 215 grandi investitori con un patrimonio gestito complessivo di circa 1,5 bilioni di Euro

Oggi l’applicazione dei criteri di sostenibilità nelle decisioni d’investimento segue soprattutto le linee guida in tema di ambiente, responsabilità sociale e corporate governance delle grandi società di investimento. In questo modo si cerca di trasmettere l’esigenza propria in termine di sostenibilità anche all’oggetto in cui si pensa di investire. Alcuni esperti considerano il tema della sostenibilità come parte del classico triangolo dell’investimento di capitale, composto da sicurezza, rendimento e liquidità. Perché le aziende che promuovono una gestione sostenibile invece di cercare di massimizzare rapidamente i profitti offrono agli investitori una sicurezza notevolmente superiore per il loro investimento.

In altre parole: le aziende che non seguono i criteri della sostenibilità rischiano delle perdite drammatiche. Durante la conferenza sulla sostenibilità organizzata anche quest’anno da Union Investment, Dr. Solveig Pape-Hamich, Head of Investment Strategies and Sustanibility in KfW ha portato degli esempi impressionanti. Nel 2012 l’interruzione sanguinosa di uno sciopero dei minatori che lottavano per delle condizioni di lavoro umane ha prodotto per l’azienda mineraria sudafricana Lonmin dei danni e delle turbolenze finanziari su lunga scala. Nel 2010 l’incidente alla piattaforma Deepwater Horizon ha messo gravemente in difficoltà il gruppo petrolifero BP.

Le aziende quotate in borsa che sono in grado di convincere con una strategia di sostenibilità credibile e tracciabile per quanto riguarda l’ambiente, la responsabilità sociale e la gestione dell’azienda, sono decisamente avanti se si tratta di trovare un investitore. Lo sviluppo verso una considerazione dei criteri di sostenibilità nelle decisioni di investimento è particolarmente positivo per le PMI quotate della seconda fila.

La politica ce lo dimostra: cosa me ne importa di quello che ho detto ieri, prima delle elezioni. Non me ne importa proprio niente.

L’ultimo esempio famoso è il presidente del consiglio di sorveglianza della Siemens. 2012/2013, quando voleva essere rieletto come presidente, ha promesso agli azionisti che avrebbe iniziato la sua carica preparando finalmente un piano per la successione sua e di alcuni altri membri del consiglio. Adesso lui aspetta che le cose si risolvano da se, noi aspettiamo insieme a lui sperando che il mondo cambi il meno possibile. Loro lassù – noi quaggiù. Speriamo anche nell’influenza della famiglia Siemens che si preannuncia con giovanile freschezza.

Osservo l’arrivo di una nuova cultura, in cui si guarda agli investitori con rispetto e attenzione. Nella Deutsche Bank ci sono sempre più segnali per questo cambiamento; i boni non cadono più dal cielo ma vengono decisi dai rappresentanti degli azionisti, le cariche nel CdA non sono più decisi in cooptazione, ma tramite ragionamento, anche esterno. Solo il consiglio di sorveglianza rimane tale quale – ci vorrà tempo ed energia per rinnovarsi a tutto tondo e adattarsi ai nuovi tempi.

Il litigio per Karstadt / Arcando è finito con una sentenza infantile e d’invidia (l’ex CEO Middelhoff è stato condannato a tre anni di reclusione per malversazione di mezzo milione di Euro) – se i parametri per i delitti fiscali fossero gli stessi, alcuni presidenti del calcio tedesco dovrebbero andare in galera per secoli. Mi domando, ma nessuno si è mai chiesto chi si occupava del consiglio di sorveglianza die Karstadt/Arcando, chi controllava le decisioni sui crediti e tante altre cose ancora.

Sono tornate di moda anche le perizie. Siemens paga (presumibilmente) la perizia sul buon funzionamento del suo consiglio di sorveglianza e sulla diligenza dei suoi membri. Attenzione: visto con gli occhi del giudice di Essen (vedi sopra) questa vecchia strategia della Thyssen apre delle belle questioni: E’ ammissibile che una società paghi dei consulenti per avere queste valutazioni? Anche quando gli azionisti non ricevono neanche una copia del testo pur avendole pagate? Quanto è pensabile che il perito conosca quello che va a valutare e a redigere.

Lo stesso vale per le IPO,  interpretate come Interesting Personal Outlook (IPO, per l’appunto), e penso in particolare allo spettacolo offerto in questi giorni da Rocket Internet. Arriva qualcuno e vende un sacco pieno di speranza – persino dopo l’ingresso in borsa il report trimestrale è ancora colmo di effetti glamour. A pagina 10 si legge che i margini EBIT sono esclusivamente positivi (fino al 129 %); bisogna arrivare fino alla fine per venire a sapere che non c’è nessuna (veramente nessuna?) partecipazione con un EBITDA o anche qualcosa in più. Ovvio, l’immagine tecnica è sempre ritoccabile - come la votazione in Infineon nel 2010, quando la maggioranza dell’assemblea è stata invertita, oppure la perizia sul consiglio di sorveglianza della Siemens o altro.

I tempi saranno migliori quando arriveranno i giovani, con idee fresche e quando succederà ciò che ci siamo giù augurati nel corner del novembre 2013: “all we can do is hope that, as happened in 2013, the family frees access to younger blood and also more ladies for the Supervisory board” – meglio un po’ più tardi che, come ci insegna Gorbaciov, bastonato dalla storia, dal successore.

BASF dovrà rispondere davanti ai tribunali degli Stati Uniti per presunti accordi sui prezzi nel commercio del metallo. Il dipartimento del commercio di metalli del più grande gruppo chimico del mondo avrebbe manipolato insieme a Goldman Sachs, HSBC e la sudafricana Standard Bank per otto anni i prezzi per il platino e il palladio. Questo è quanto si legge nell’accusa depositata il 26 novembre in un tribunale di New York. La Modern Settings della Florida rimprovera le aziende di aver fatto perdere milioni di dollari agli acquirenti a causa di manipolazioni sul prezzo. La ditta di gioielli che produce anche badge per la polizia, faceva parte del gruppo degli acquirenti.

Dopo sette anni la SAP ha finalmente chiuso i litigi con Oracle sul caricamento illegale di software di Oracle. Secondo la documentazione del tribunale pubblicata il 13 novembre l’accordo prevede che il gruppo di software tedesco paghi circa 359 milioni di dollari (più o meno 287 milioni di Euro). La controversia riguarda l’ ex affiliata di SAP, Tomorrow Now, che si era procurata illegalmente del software dal competitor americano. Le due aziende si sono mostrate soddisfatte dell’accordo trovato.

Il Gabinetto Federale mette in pista la legge sulla protezione dei piccoli azionisti

Gli investitore nel gray capital market possono contare su una nuova protezione legale. Il 12 novembre Gabinetto Federale ha approvato la bozza di una legge sulla protezione dei diritti del piccoli azionista con la quale si cerca di ristabilire la fiducia degli investitori nei prodotto di financial service. Il Ministero Federale per la Giustizia ha fatto sapere che le nuove regole permetteranno una maggiore protezione dei consumatori contro prodotti finanziari ad alto rischio e poco trasparenti. La bozza prevede infatti di offrire agli investitori informazioni maggiori e più attuali , introducendo allo stesso momento per gli offerenti dei prodotti di investimento delle restrizioni per la pubblicità e la vendita. Il mercato grigio dovrebbe trasformarsi in un mercato dei capitali trasparente, fa sapere il governo. La proposta stilata insieme dal Ministero delle Finanze e quello della Giustizia è una risposta della coalizione rosso-nera al fallimento del finanziatore di parchi eolici Prokon che produrrà sicuramente la perdita di denaro per molte persone. Il mercato del credito tedesco giudica positivo il fatto che dopo la bozza del governo gli obblighi previsti da MiFID II sull’istallazione di procedimenti per l’approvazione dei prodotti non vengano – come inizialmente pensato – anticipate, ma introdotte insieme al regolamento europeo il 3 gennaio 2017. Purtroppo la bozza attuale non è ancora sufficiente per regolare il gray capital market.

Per la terza volta Aurubis ha deciso di mandare a casa il presidente del suo CdA. Questa volta è toccato a Peter Willbrandt. Dal 1 novembre il gruppo attivo nel settore del rame sarà guidato per un massimo di 12 mesi da Bernd Drouven. La decisione è stata presa anche se nel 2011 l’allora presidente del CdA e successivamente   membro del consiglio di sorveglianza aveva lasciato l’azienda a causa di una situazione conflittuale con il presidente del consiglio di sorveglianza Heinz Jörg Fuhrmann. Ad occupare ad interim il posto di Drouven nel consiglio di sorveglianza sarà il membro di riserva Joachim Faubel. Il 19 settembre il suo predecessore aveva già annunciato di non voler prolungare il suo contratto per motivi personali. Il 3 novembre Aurubis ha fatto sapere che il 52 enne Willbrandt lasciò la sua carica in accordo con il consiglio di sorveglianza il 31 ottobre.

Dopo la partenza dell’ex presidente del CdA Roland Koch durante l’estate e l’annuncio delle dimissioni del CFO Joachim Müller non appena si troverà un suo successore, il CdA della Bilfinger, composto ormai da soli cinque persone, dovrebbe tra poco perdere con Joachim Enenkel un altro membro. Il consiglio di sorveglianza si aspetta che con l’arrivo dell’ex capo della Metro i giorni di Enenkel siano solo contati. Al momento ad Enenkel è rimasta solo la guida del settore edilizio che per la gran parte verrà venduto.

Il consiglio di sorveglianza della Deutsche Post ha chiamato il 31 ottobre Melanie Kreis nel CdA. La futura Head of Human Resources e Labour Director è nata a Bonn e non viene dall’esterno come la sua sfortunata predecessora Angela Titzrath, bensì dall’interno. La 43-enne lavora ormai da dieci anni per la Deutsche Post. Madre di due figli, dovrà confrontarsi nel 2015 con importanti discussioni sulle retribuzioni. Melanie Kreis vanta anche una solida esperienza nel settore M & A.

Dopo l’uscita definitiva dell’investitore finanziario Fortress da GAGFAH il gruppo di immobili da abitazione inizierà il nuovo anno con tre nuovi membri nel consiglio di amministrazione. Le new entry sono Hendrik Jellema (prima membro del CdA della società di costruzione immobiliare di Berlino, Gewobag), Daniel Just (finora presidente del CdA della Bayerische Versorgungskammer) e Wolfgang Ruttenstorfer (in ultimo, fino al 2011, direttore generale e presidente del consiglio di amministrazione dell’azienda immobiliare austriaca OMV). I tre prenderanno i posti lasciati dopo l’ultimo grande piazzamento di Fortress dai rappresentanti dell’ex grande azionista Wesley R. Edens e Randal A. Nardone e di Jürgen Allerkamp che lascerà la sua carica entro il 31 dicembre passando come presidente del CdA nella Investitionsbank Berlin (IBB).

A gennaio 2015 Olaf Berlien prenderà in OSRAM Licht il posto di Wolfang Dehen. Durante la sua riunione del 5 novembre il consiglio di sorveglianza del gruppo di tecnologia per l’illuminazione attualmente in ristrutturazione ha chiamato l’attuale CEO di M + W, una PMI del settore dei semiconduttori di Stoccarda, come suo nuovo presidente del CdA. Dehen lascerà la presidenza il 1 gennaio 2015 per sua decisione e in perfetta accordo con l’azienda.

Il 3 novembre il consiglio di sorveglianza della Pfeiffer Vakuum ha sollevato dal suo incarico Nathalie Benedikt. Il 4 novembre l’azienda quotata nel Tec Dax con sede a Asslar in Assia si è affrettata a comunicare che la revoca dell’ex CFO non aveva niente a che fare con l’attuale report intermediario. Il vuoto sarà temporaneamente colmato dall’ AD Manfred Bender fino a quando non si troverà un successore.

A quanto pare il consiglio di sorveglianza della Siemens sta pensando ad una nuova assegnazione. Il CEO di BMW Norbert Reithofer dovrebbe entrare nell’organo di controllo. Il 27 gennaio 2015, giorno della prossima assemblea degli azionisti, si presenterà alle elezioni. Se fosse così un altro rappresentante degli azionisti dovrebbe cedere il posto al manager automobilistico visto che la durata del consiglio attualmente guidato da Gerhard Cromme finisce solo nel 2018. La famiglia Siemens inizia nel frattempo una fase di cambiamento generazionale. Il rappresentante della famiglia Gerd von Brandenstein (72) vorrebbe ritirarsi per motivi di età. Il pronipote di Carl Heinrich von Siemens, fratello di Werner von Siemens, cederà il suo posto a Nathalie von Siemens.

Il rilevamento di circa 90 per cento di Sky Deutschland da parte della BSkyB dominata da Rupert Murdoch modifica anche la composizione del consiglio di sorveglianza della rete di televisione a pagamento in Germania. Il 19 novembre è stato comunicato che dopo l’unione dei suoi canali di pay tv in Europa il magnate dei media sostituisce due membri del consiglio di sorveglianza. Il CEO di BSkyB, Jeremy Darroch e il suo collega nel CdA Andrew Griffith (CFO) entrano nell’organo di controllo. Darroch è stato eletto come presidente del consiglio di sorveglianza. Chase Carey e Jan Koeppen avevano fatto sapere che non si sarebbero candidati per le elezioni del consiglio di sorveglianza di Sky Deutschland. Per questo motivo le loro cariche sono scadute il 19 novembre 2014.

Come previsto Jens Tischendorf entrerà per Cevian nel consiglio di sorveglianza di ThyssenKrupp. In un elenco pubblicato dal gruppo industriale si legge che il responsabile per la Germania dell’investitore svedese è stato proposto come candidato rappresentante del capitale. Per avere certezza bisogna aspettare la votazione dell’assemblea generale il 30 gennaio 2015. L’ingresso di Tischendorf nell’organo di controllo aumenterebbe ulteriormente l’influenza di Cevian che con 15,08 percento è il secondo azionista più grande in Thyssenkupp. Anche Ingrid Hengster, membro del CdA di KfW dovrebbe entrare come nuovo membro nel consiglio di sorveglianza. Lasceranno il posto invece Christian Streff del gruppo francese Safran e l’ex presidente dell’associazione BDI (Associazione dell’industria tedesca) Jürgen Thumann.

Alno: riposizionamento continuo

La Alno AG ha prolungato per altri due anni il contratto con il CEO Max Müller. Con Alno dal 2011, Müller porterà avanti la guida del produttore di cucine fino a dicembre 2016, spingendo in particolare su un nuovo posizionamento dell’azienda quotata nel general standard. Müller si occupa delle ristrutturazioni e delle acquisizioni, nonché della revisione, dell’ufficio legale, della comunicazione aziendale e delle attività internazionali del gruppo. Accanto alla sua attività nel CdA di Alno occupa il posto di presidente del consiglio di sorveglianza della Comco Holding AG e della Starlet Investment AG, ambedue società di investimento svizzere.

Delticom: Nuovo posto di CEO

Dal 2015 il CdA di Delticom avrà un posto in più. A partire dal prossimo gennaio Thierry Delesalle sarà responsabile per il consumer business con pneumatici per automobili e ruote completi in Europa occidentale e per il Marketing dell’azienda quotata nel SDax. Delesalle è entrato in Delticom nel 2011 come Manager Acquisti e Responsabile Country Management per il consumer business online per automobili in Europa Orientale.

Pfeiffer vaccum: Separazione istantanea

La Peffer Vaccum AG si è separata con effetto immediato dalla CFO Nathalie Benedikt. L’azienda quotata nel TecDax fa sapere che ci sono stati dei disaccordi interni. I numeri trimestrali poco soddisfacenti non sarebbero alla fonte del problema. Ad occuparsi ad interim delle finanze, dell’EDP e delle Risorse Umane sarà il Manfred Bender, il CEO di Pfeiffer. Benedikt era da gennaio 2013 CFO del produttore di pompe a vuote. Dal 2004 dirigeva il settore Controlling e Finanze.

Trasparenza nella remunerazione al livello CdA lascia a desiderare

Il BVI (Associazione tedesca per Investment e Asset Management) ha esaminato nell’esercizio corrente insieme ad Ivox la documentazione per le assemblee generali di 160 aziende della famiglia del DAX (DAX, MDAX, SDAX e TecDAX) paragonandole con le linee guide analitiche per le assemblee generali pubblicate dal BVO. Le linee guide contengono delle raccomandazioni per una buona gestione dell’azienda che si orientano a loro volta a quanto richiesto dal Codice tedesco per la Corporate Govenance, senza tuttavia copiarle del tutto. I membri del BVI gestiscono nei loro fondi azioni di aziende tedesche per un valore di 90 miliardi di Euro. I gestori dei fondi agiscono come fiduciari dei loro clienti. Il risultato è deludente. La qualità di buon governo aziendale spesso non corrisponde agli standard richiesti. Soprattutto i membri dei CdA dovrebbero guardarsi allo specchio, commenta Thomas Richter, AD dell’associazione dei fondi tedeschi. L’analisi fatta su commissione del BVI evidenzia un numero crescente di violazioni delle linee guide sopra citate, soprattutto al momento dell’approvazione dell’operato dei membri del CdA.

Per il finanziamento del rilevamento della Swisslosg attraverso l’emissione d nuove azioni la KUKA è riuscita a raccogliere circa 87,9 milioni di Euro da investitori istituzionali. Il costruttore di robot e di impianti fa sapere in un comunicato stampa di aver chiuso con successo l’aumento di capitale annunciato il 5 novembre. Il numero concordato per le azioni era di 1.702.884 pezzi per 49 Euro cad., che corrisponde ad un abbattimento del due cento. La transazione totale costa circa 280 milioni di Euro. Tenendo conto del fatto che l’aumento di capitale è stato fatto come previsto con esclusione dei diritti di opzione, l’azienda non è ancora in grado di valutare se i due grandi azionisti Grenzebach (19,8 per cento) e Friedhelm Loh (10 per cento) hanno seguito il flusso per non annacquare le loro partecipazioni.

Schaltbau: Riacquisto per espandere

La Schaltbau AG, azienda specializzata sulla tecnologia per il traffico – intende riacquistare 307.609 azioni proprie – circa il 5 per cento delle azioni emesse complessivamente. In seguito ad una decisione dell’assemblea generale del 2010 i titoli possono essere offerti nell’ambito di una partecipazione o acquisizione di aziende. Secondo una rivista online specializzata la società quotata nel SDax vorrebbe espandere all’estero, vedendo particolare potenziale in Cina e nelle regioni arabe.

Bisogna comunque aggiungere che recentemente il gruppo è stato costretto ad abbassare la previsione di risultato per il 2014 da 31 a 26,8 milioni di Euro a causa di effetti negativi nati dall’allocazione del prezzo per un acquisto realizzato quest’anno. Il management prevede comunque ancora un fatturato di 425 milioni di Euro.

Hella: Sicuramente in borsa

Da metà novembre il fornitore di materiale per l’industria automobilistica Hella KGaA Hueck & Co è quotata nel Prime Standard della Borsa Titoli di Francoforte. Prima ancora dell’annuncio ufficiale l’azienda ha piazzato circa 11 milioni di azioni provenienti da un aumento di capitale a 25 Euro caduno.Altre 5,75 milioni di azioni provenienti dal fondo del socio di famiglia sono stati emessi con un secondo piazzamento privato per 26,50 Euro / azione. Hella ha emesso complessivamente 111 milioni di azioni. Il giornale Handelsblatt fa sapere che l’azienda ha ricavato 278 milioni di Euro, 152 milioni dei quali sono andati agli otre 60 soci famigliari.

Mag Force: Nuovi orizzonti

Specializzata in tecnologia medica la MagForce AG ha piazzato durante un aumento di capitale 1,7 milioni di azioni nuove a 6 Euro caduna, incassando così oltre 10 milioni di Euro. Il diritto d’opzione degli azionisti già esistenti era escluso. I nuovi titoli dell’azienda quotata nel Entry Standard corrispondono più o meno al sette percento del capitale sociale. Con i ricavi lo specialista oncologico intende posizionare la sua cosiddetta Nanotherm Therapie anche fuori dagli Stati Uniti.

La terapia contiene delle nanoparticelle che permettono una liberazione delle sostanze attive in base alla temperatura. Al momento il procedimento è permesso in Europa solo per il trattamento dei tumori al cervello. Secondo la rivista Börse Online l’azienda si sta concentrando sull’ottenimento dell’autorizzazione per il trattamento del tumore alla prostata, dato che negli Stati Uniti il mercato per questa malattia è maggiore che per i tumori al cervello.

M & A

Capital Stage: Capitale per più solare

La Capital Stage AG, quotata nel SDax, ha iniziato con la Gothaer Versicherungen una collaborazione strategica nel settore delle energie rinnovabili. La compagnia assicurativa offre al gestore di impianti solari ed parchi eolici un diritto di godimento di capitale per 150 milioni di Euro per un periodo di 20 anni. Capital Stage vorrebbe utilizzare questo capitale per finanziare in futuro degli impianti solari e dei solar power plant, soprattutto in Germania, in Francia e in Italia. L’azienda vorrebbe aver investito il denaro ancora prima della fine del 2015 per raddoppiare la capacità di produzione in un periodo calcolabile.

WMF: Entro la fine del 2015 gli investitori finanziari Kohlber Kravis Robertrs (KKR) e Fiba pensano di aver chiuso l’acquisto del produttore di accessori per la cucina,, WMF AG. Questo è quanto si legge nella rivista Börse online. I due investitori tengono in una holding company di nome Finedining Capital già il 92 per centro del capitale sociale. Le azioni degli azionisti minoritari dovrebbero essere rilevati contro un pagamento in contanti adeguato tramite uno squeeze-out. Attualmente si prevede un prezzo di 5837 Euro per ogni azione. A gennaio l’assemblea generale sarà chiamata a decidere il passaggio delle quote restanti alla Finedining Capital. Nel frattempo la WMF AG, quotata nel general Standard, ha venduto la sua affiliata Alfi negli Stati Uniti. Alfi produce delle caffettiere isolanti e appartiene adesso al gruppo Thermos, secondo la WMF il leader del mercato mondiale nel settore. Le parti tacciono sul prezzo della transazione. WMF è intenzionata a ridurre sempre di più il proprio portfolio di marchi per concentrarsi maggiormente sui segmenti tavola e cucina, nonché macchina da caffè professionali.

SKW: Addio Svezia

Il gruppo SKW Metallurgie Holding AG ha venduto una fabbrica svedese di carburo di calcio (calcium carbide) all’azienda chimica tedesca AlzChem. I dettagli della transazione non sono stati pubblicati. Separandosi dal 100 per 100 delle sue quote alla SKW Metallurgy Sweden AB – adesso Nordic Carbide AB – la SKW prosegue per la nuova direzione strategica concentrandosi sempre di più sul core business e sulla crescita della propria posizione nei mercati chiave.
